Richie AI Subscription Agreement

This Richie AI Subscription Agreement (the "Agreement") is a binding contract between Boomerangme, Inc., a Delaware corporation with its mailing address at 24a Trolley Square, Unit #4087, Wilmington, DE 19806, USA ("Boomerang", "we", "us", "our") and the business that subscribes to or uses the Richie AI service ("you", "your", the "Client").

By selecting a plan, entering your payment details, subscribing to Richie AI, or continuing to use the service, you accept this Agreement on behalf of your business and confirm that you are authorized to do so. This Agreement is entered into together with our Terms of Use and Privacy Policy.

1. What Richie AI is

Richie AI is an AI powered marketing agent for restaurants and other local businesses (the "Service"), backed by a team of real marketers. Depending on your plan and setup, the Service may include:

  • Setup and onboarding of your business performed by the Richie AI agent asynchronously over iMessage, SMS, or other messaging channels — no scheduled calls or meetings are required. Richie asks you for a small number of things (typically access to your advertising account and an advertising budget) and gets you live at your own pace.
  • Research of your business, menu, market, and competitors to prepare offers and advertising strategy.
  • Creation and management of advertising campaigns for your business, including campaigns on Meta platforms (Facebook and Instagram).
  • Creation of advertising creatives, offers, and coupons for your business.
  • A digital loyalty and coupon program powered by the Boomerang platform.
  • Performance reports and answers to your questions about your campaigns.

Richie AI is an automated agent. Its messages, recommendations, and actions are generated by artificial intelligence, with human oversight available from the Boomerang team.

2. Plans, billing, and renewal

No free trial and no separate onboarding fee — you subscribe and your plan starts immediately. When you subscribe, you choose a plan and your payment method is charged the plan price shown at checkout. The Service becomes available right away and Richie begins onboarding you by message.

Plans (billed in advance, renewing automatically until cancelled):

  • Weekly — US $19.99 per week.
  • Monthly — US $79.99 per month.
  • Quarterly (best value) — US $149.99 every three months.

The price shown to you at checkout controls. Each plan renews automatically at the end of its billing period (each week, each month, or every three months, depending on your plan), and your payment method on file is charged the then-current price for your plan, until you cancel as described in Section 8.

Introductory pricing. A reduced price may apply to your first billing period only (for example, a lower first week, first month, or first quarter, as shown at checkout). After the first period, your plan renews at the standard price for that plan shown above and at checkout. Any introductory discount applies once and does not carry over to later periods.

Taxes. Prices do not include applicable taxes. Where required, taxes are added at checkout or on the invoice.

3. Advertising budget and service commission

Advertising spend is separate from your subscription fee.

  • Your ad budget is your money. Amounts you allocate to advertising ("Ad Budget") are used to pay for your advertising campaigns. The Ad Budget is not a Boomerang fee.
  • Service commission. Boomerang charges a service commission of 20% of the Ad Budget for managing your campaigns. The commission is calculated on each Ad Budget payment or top up and is included in the amount you confirm before payment.
  • Pilot exception. Your first US $500 of Ad Budget is commission free. The entire first $500 goes to your advertising; the 20% commission applies only to Ad Budget beyond the first $500.
  • Budget amounts are always confirmed with you. Richie AI proposes budgets and changes in chat. No Ad Budget amount is charged without your confirmation as described in Section 4.

4. Card on file and chat confirmed payments

To make working with Richie AI fast and simple, you authorize the following:

  • Card on file. The payment method you provide at checkout is saved to your customer account and may be used for the charges described in this Agreement: your recurring subscription fee, and Ad Budget payments and top ups that you confirm.
  • Chat confirmation equals authorization. When Richie AI proposes an Ad Budget payment or top up in chat (for example over iMessage or SMS) and you reply with a clear confirmation (such as "yes" or "confirm"), that reply is your authorization to charge the stated amount to your card on file. We keep a record of the proposed amount, your confirmation, and its time as evidence of your authorization.
  • Receipts and invoices. For each charge you receive a receipt or invoice by email. Charges appear on your statement with a Boomerang or Richie AI descriptor.
  • If a charge fails. If a subscription renewal or confirmed charge cannot be completed (for example, your bank requires additional authentication or the card is declined), we will retry the charge and/or send you a secure payment link or hosted invoice to complete the payment. We do not cancel your subscription on a single failed charge; we attempt to recover the payment first.
  • Revoking authorization. You may revoke this authorization at any time by contacting us at support@boomerangme.com or by telling Richie AI in chat. Revoking authorization does not cancel amounts you already confirmed and does not by itself cancel your subscription (to cancel, see Section 8).

5. Messaging consent

The Service is delivered primarily through messaging. By providing your phone number and using the Service you agree that:

  • Boomerang and Richie AI may contact you by SMS, iMessage, and similar channels at the number you provided, including with automated and AI generated messages about onboarding, your campaigns, budgets, payments, and service updates.
  • Message frequency varies. Message and data rates may apply depending on your carrier and plan.
  • You can opt out of SMS at any time by replying STOP, and get help by replying HELP or emailing support@boomerangme.com. Opting out of messaging may make it impossible to deliver parts of the Service, because onboarding and day to day operation happen over messaging.

6. Your accounts and access

To run campaigns on your behalf you may need to grant Richie AI and Boomerang access to certain accounts and assets, such as your Meta Business Manager, Facebook Page, Instagram account, ad accounts, point of sale data, or menu information.

  • You confirm that you own these accounts and assets or have the right to grant access to them.
  • You authorize Boomerang and Richie AI to act on your behalf within the granted access: to create and manage campaigns, audiences, creatives, offers, and related assets.
  • We use this access only to provide the Service. You may revoke access at any time, but parts of the Service may stop working without it.
  • You remain responsible for your accounts and for compliance of your business, menu, and offers with applicable laws and platform policies.

7. Performance and no guarantee of specific results

Advertising performance depends on many factors outside our control, including your market, your offers, your prices, platform changes, and seasonality. Richie AI uses data and best practices to maximize your results, but we do not guarantee any specific outcome by default, including revenue, number of customers, coupon redemptions, return on ad spend, or ad approval by any platform. Estimates, projections, and benchmarks shared by Richie AI are informational and are not promises.

If we advertise a specific performance guarantee to you (for example, a stated number of customers within a stated time), that guarantee applies only on the specific terms and conditions stated with that offer — including what qualifies, what you must do (such as granting access and funding the Ad Budget), and the remedy offered. Those terms control over the general statement above. Contact support@boomerangme.com for the terms of any guarantee that applies to you.

8. Cancellation and refunds

  • Cancel any time. You may cancel your subscription at any time by telling Richie AI in chat or by emailing support@boomerangme.com. Cancellation is simple and can be done online in a few steps. Cancellation takes effect at the end of your current billing period; you keep access until then.
  • No partial refunds of the current period. Subscription fees already paid for the current billing period are not refunded, and there is no proration for the unused part of a period.
  • Automatic renewal. Your subscription renews automatically at the price and interval shown at checkout until you cancel. We will not charge a renewal after you have cancelled.
  • Failed renewals. If a renewal payment fails, we may retry it and send you a payment link before any suspension (see Section 4). We do not terminate the subscription on a single failed charge.
  • Ad Budget. Ad Budget amounts already spent on advertising platforms cannot be refunded by us. If you cancel, any confirmed but unspent Ad Budget held by us, less the applicable service commission, will be refunded or spent down according to your instruction.
  • We may refund at our discretion in other cases. Contact support@boomerangme.com.

9. Client responsibilities

You agree to:

  • Provide accurate information about your business and keep it up to date.
  • Honor the offers, coupons, and promotions that you approved and that are advertised to your customers.
  • Comply with laws applicable to your business and your advertising, including consumer protection and food service regulations.
  • Not use the Service for unlawful, misleading, or harmful advertising.

We may pause or end the Service if your use violates this Agreement, the law, or advertising platform policies.

10. Intellectual property

We retain all rights to the Service, including Richie AI, our software, models, prompts, and the Boomerang platform. You receive a non exclusive right to use the campaigns, creatives, offers, and reports we produce for your business while this Agreement is in effect, and you keep the right to use creatives we made for you in your own marketing after the Agreement ends. You retain all rights to your trademarks, content, and data, and grant us a license to use them to provide the Service.

11. Disclaimers and limitation of liability

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non infringement.

To the maximum extent permitted by law, Boomerang's total liability arising out of or related to this Agreement will not exceed the subscription fees and service commissions you paid to us in the three months before the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue, even if advised of the possibility. Nothing in this Agreement limits liability that cannot be limited by law.

12. Privacy

Our collection and use of personal information is described in the Boomerang Privacy Policy. By using the Service you also confirm that you have the right to share with us any customer data you provide, and that messaging your customers through the loyalty program complies with applicable law.

13. Changes to this Agreement and the Service

We may update this Agreement and the Service from time to time. For material changes we will give you notice in chat or by email at least 14 days before the change takes effect. If you continue to use the Service after the change takes effect, you accept the updated Agreement. If you do not agree, cancel before the change takes effect.

14. General

  • Governing law. This Agreement is governed by the laws of the State of Delaware, USA, without regard to conflict of law rules. Disputes will be resolved in the state or federal courts located in Delaware, and the parties consent to their jurisdiction.
  • Entire agreement. This Agreement, together with the checkout terms and the Privacy Policy, is the entire agreement between you and Boomerang about the Service.
  • Assignment. You may not assign this Agreement without our consent. We may assign it in connection with a merger, acquisition, or sale of assets.
  • Severability. If any provision is found unenforceable, the rest of the Agreement remains in effect.
  • No waiver. A failure to enforce a provision is not a waiver of it.
